Definitions
In these Terms:
“Competitor” means a third-party supplier that is an authorised Australian commercial equipment dealer with a valid ABN.
“Customer” means the purchaser of equipment from Greentech.
“Eligible Product” means a Battery Energy Storage System that is:
(a) identical in brand, model and specification to the product offered by Greentech;
(b) new and in original packaging; and
(c) available for immediate purchase from a Competitor.
“Greentech” means METAL MANUFACTURES PTY LIMITED trading as Greentech (MMEM) ABN 13 003 762 641.
“Payment Plan” means a Payment Plan Agreement offered by Energy Lease Pty Ltd trading as Smart Ease, whereby a commercial entity pays for equipment in monthly instalments, which may include a provision for services, for an agreed term.
Price Match Obligation
2.1. Greentech agrees to match the Competitor’s advertised price for an Eligible Product, subject to these Terms.
2.2. The Price Match applies only to the product price and excludes delivery, installation, training, warranties or ancillary services, unless expressly included in the Competitor’s advertised price on identical terms.
2.3. The Price Match applies only to equipment purchased from the following Greentech branches: Sydney, Newcastle, Brisbane, Gold Coast, Sunshine Coast, Townsville and Cairns, for an installation that is the subject of a Smart Ease Payment Plan.
Additional Customer Obligations
3.1. The Price Match Guarantee applies only where the Eligible Product is a preferred supplier brand of Greentech.
3.2. The Price Match Guarantee does not include freight.
3.3. The Customer must ensure that any request for a Price Match clearly identifies the relevant brand stocked by Greentech and complies with all requirements of Section 5 (Request Procedure).
Exclusions
The Price Match Guarantee does not apply where:
(a) the Competitor’s product is second-hand, refurbished, ex-display, clearance, liquidated, or part of a one-off promotional sale;
(b) the Competitor’s product is offered via auction, tender, private sale, peer-to-peer platform, or membership-only pricing arrangement;
(c) the Competitor’s price results from an error or misprint;
(d) the Competitor’s offer includes bundled goods or services not identical to Greentech’s;
(e) the request relates to bulk orders or special contract pricing not generally available to the public;
(f) the Competitor is not an authorised supplier of the identical product or is a non-preferred supplier outside of the supplier’s established supply channels;
(g) the Competitor’s price results from temporary or predatory pricing practices including, without limitation, situations where the Competitor is:
(i) offering goods or services at a price below their cost of supply; or
(ii) offering a temporary promotional, clearance, or distress sale price; or
(iii) otherwise engaging in pricing that, in Greentech’s reasonable opinion, is unsustainable or intended to undercut competition rather than reflect normal market conditions.
Greentech reserves the right, in its absolute discretion, to determine whether a Competitor’s price falls within these exclusions;
(h) the Competitor’s stock is not available for immediate delivery, or the supply lead time materially differs from Greentech’s;
(i) the Competitor’s offer is conditional on minimum purchase volumes, bundled rebates, or other terms not consistent with Greentech’s supply model; or
(j) the Competitor’s pricing is subsidised by unrelated project incentives, government schemes, or internal promotions not reflective of ongoing commercial pricing.
Request Procedure
5.1. The Customer must submit a request for a Price Match prior to placing an order.
5.2. The Customer must provide documentary evidence (quotation, catalogue, website link or advertisement) of the Competitor’s lower price, which must be current and verifiable at the time of request.
5.3. Greentech reserves the right to verify the Competitor’s price and stock availability before approving a Price Match.
Conditions of Guarantee
6.1. Price Match requests are subject to approval by Greentech in its absolute discretion.
6.2. Greentech may limit the number of units supplied under the Price Match Guarantee.
6.3. The Price Match Guarantee cannot be combined with any other promotion, discount, rebate or offer from Greentech.
6.4. Greentech’s obligations under the Price Match Guarantee are limited to matching the Competitor’s price; no further compensation is payable.
Limitation of Liability
To the maximum extent permitted by law, Greentech excludes all liability for any loss, damage, cost or expense suffered by the Customer in connection with the Price Match Guarantee, other than the obligation to provide a price match in accordance with these Terms. Nothing in these Terms excludes any rights or remedies available to the Customer under the Australian Consumer Law.
Variation and Termination
Greentech may vary or withdraw the Price Match Guarantee at any time without notice. Such variation or withdrawal will not affect any approved Price Match requests made prior to the date of variation or withdrawal.
Governing Law
These Terms are governed by the laws of New South Wales and each party submits to the non-exclusive jurisdiction of the courts of New South Wales.
